Callvio Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the Callvio platform, website, applications, APIs, software, and related services (collectively, the "Services").
By creating an account, accessing, or using the Services, you agree to be legally bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Definitions
Callvio means Callvio, its affiliates, officers, directors, employees, contractors, agents, licensors, successors, and assigns.
Customer means any person or entity using the Services.
End User means any person who interacts with a Customer through the Services.
Customer Data means all information, communications, content, recordings, messages, files, documents, and materials submitted, uploaded, transmitted, stored, generated, or processed through the Services.
AI Services means any artificial intelligence, machine learning, automation, speech recognition, transcription, language processing, analytics, or related technologies provided by Callvio.
3. Eligibility
You must be at least eighteen (18) years old and legally capable of entering into binding agreements.
If you use the Services on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.
4. Services
Callvio provides software and communication automation tools that may include:
- AI voice agents
- Phone call automation
- Appointment scheduling
- WhatsApp automation
- Messaging automation
- Customer support automation
- Call recording
- Call transcription
- Analytics
- Reporting
- Integrations
- Workflow automation
Callvio may modify, suspend, discontinue, or replace any feature at any time without liability.
5. Emergency Services Disclaimer
THE SERVICES ARE NOT EMERGENCY SERVICES.
CALLVIO IS NOT A REPLACEMENT FOR:
- Emergency dispatch systems
- Emergency medical services
- Ambulance services
- Fire services
- Police services
- Public safety communications
- Crisis response services
- Disaster response services
Customers must not rely on Callvio for emergency communications or life-safety functions.
Customers are solely responsible for maintaining alternative communication systems for emergencies.
Callvio shall have no liability whatsoever arising from any inability to contact emergency services or any delay, failure, interruption, error, or malfunction relating to emergency communications.
6. No Guarantee of Results
Callvio does not guarantee:
- Revenue increases
- Sales performance
- Appointment conversion rates
- Lead generation results
- Customer satisfaction outcomes
- Business growth
- Operational improvements
- Accuracy of AI outputs
Business outcomes depend on numerous factors beyond Callvio's control.
7. Artificial Intelligence Disclaimer
The Services utilize artificial intelligence and automated systems.
AI-generated outputs may contain:
- Errors
- Omissions
- Inaccuracies
- Hallucinations
- Incomplete information
- Incorrect recommendations
Customers are solely responsible for reviewing, validating, approving, and relying upon AI-generated content.
Callvio makes no warranty regarding the accuracy, reliability, completeness, legality, or suitability of any AI-generated output.
Customers assume all risks associated with AI-generated content.
8. Customer Responsibilities
Customers are solely responsible for:
- Their business operations
- Their customer communications
- Compliance with applicable laws
- Compliance with telecommunications regulations
- Compliance with privacy regulations
- Compliance with data protection laws
- Compliance with consumer protection laws
- Compliance with recording consent laws
- Monitoring communications generated through the Services
- Verifying AI-generated information
Callvio is a software provider and does not provide legal, medical, financial, accounting, regulatory, or professional advice.
9. Call Recording and Consent
Certain Services may record, transcribe, analyze, monitor, store, or process communications.
Customers are solely responsible for:
- Determining whether recording is lawful
- Obtaining required consent
- Providing required notices
- Maintaining legal compliance
Callvio shall have no liability arising from a Customer's failure to comply with applicable recording or privacy laws.
10. Customer Data
Customers retain ownership of Customer Data.
Customers grant Callvio a worldwide, non-exclusive, royalty-free license to host, process, store, transmit, analyze, back up, reproduce, and display Customer Data solely as necessary to provide and improve the Services.
No ownership rights are transferred to Callvio.
11. Service Improvement
Callvio may use anonymized, aggregated, and de-identified data to:
- Improve Services
- Improve AI systems
- Develop new features
- Monitor performance
- Generate usage statistics
Such data will not intentionally identify individual customers or end users.
12. Acceptable Use
Customers may not use the Services to:
- Violate laws
- Commit fraud
- Harass individuals
- Send unlawful communications
- Distribute malware
- Infringe intellectual property rights
- Engage in unlawful surveillance
- Generate harmful content
- Circumvent security measures
- Spam recipients
Callvio may suspend or terminate accounts at its discretion for violations.
13. Third-Party Services
The Services may rely upon third-party providers including:
- Telecommunications providers
- AI providers
- Cloud hosting providers
- Messaging providers
- Payment processors
- Analytics providers
Callvio is not responsible for:
- Third-party outages
- Third-party downtime
- Third-party security incidents
- Third-party policy changes
- Third-party service failures
14. Availability
Use of third-party services is subject to their own terms and policies.
Callvio does not guarantee uninterrupted availability.
Services may be affected by:
- Maintenance
- Internet outages
- Infrastructure failures
- Carrier failures
- Third-party outages
- Software defects
- Security incidents
Callvio shall not be liable for interruptions or downtime.
15. Fees and Payments
Customers agree to pay all applicable fees.
Unless otherwise agreed:
- Fees are billed in advance
- Fees are non-refundable
- Taxes are the responsibility of the Customer
- Unpaid accounts may be suspended or terminated
Callvio may modify pricing upon reasonable notice.
16. Subscription Renewals
Subscriptions automatically renew unless canceled before the next billing cycle.
Customers are responsible for managing their subscriptions.
17. Suspension and Termination
Callvio may suspend or terminate access immediately if:
- These Terms are violated
- Payment obligations are not met
- Fraud is suspected
- Security concerns arise
- Legal obligations require action
Termination does not eliminate payment obligations already incurred.
18. Intellectual Property
All intellectual property rights in the Services remain the exclusive property of Callvio and its licensors.
No ownership rights are transferred to Customers.
Customers receive a limited, revocable, non-transferable license to use the Services.
19. Confidentiality
Each party agrees to protect confidential information received from the other party and to use such information solely for purposes related to the Services.
20. Security
Callvio implements commercially reasonable safeguards designed to protect data.
However, no system can guarantee absolute security.
Customers acknowledge and accept the inherent risks of internet-based services.
21. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
CALLVIO DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- RELIABILITY
- AVAILABILITY
- SECURITY
CALLVIO DOES NOT WARRANT THAT:
- SERVICES WILL BE UNINTERRUPTED
- SERVICES WILL BE ERROR-FREE
- AI OUTPUTS WILL BE ACCURATE
- DEFECTS WILL BE CORRECTED
- BUSINESS OBJECTIVES WILL BE ACHIEVED
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLVIO SHALL NOT BE LIABLE FOR:
- LOST PROFITS
- LOST REVENUE
- LOST BUSINESS
- LOST CUSTOMERS
- LOST GOODWILL
- LOST DATA
- BUSINESS INTERRUPTION
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- CONSEQUENTIAL DAMAGES
- SPECIAL DAMAGES
- PUNITIVE DAMAGES
REGARDLESS OF THE THEORY OF LIABILITY.
IN NO EVENT SHALL CALLVIO'S TOTAL LIABILITY EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO CALLVIO DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IF NO FEES HAVE BEEN PAID, CALLVIO'S MAXIMUM LIABILITY SHALL NOT EXCEED USD $100.
23. Indemnification
Customers agree to defend, indemnify, and hold harmless Callvio and its officers, directors, employees, contractors, affiliates, and agents from any claims, damages, losses, liabilities, penalties, fines, costs, and expenses arising from:
- Customer use of the Services
- Customer Data
- Customer communications
- Violation of law
- Failure to obtain consent
- Violation of these Terms
- Claims by End Users
24. Force Majeure
Callvio shall not be liable for delays or failures caused by events beyond its reasonable control, including:
- Natural disasters
- Government actions
- Internet outages
- Telecommunications failures
- Labor disputes
- War
- Terrorism
- Civil unrest
- Third-party service failures
25. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Callvio is incorporated.
Any disputes shall be resolved exclusively in the courts of that jurisdiction.
26. Changes to Terms
Callvio may modify these Terms at any time.
Updated Terms become effective upon posting.
Continued use of the Services constitutes acceptance of the revised Terms.
